Our terms and conditions are fair and clear. They are the least exciting part of our webshop — but an important one. On this page you will find all the information you need.

Article 1 — Definitions

In these general terms and conditions, the following terms have the following meanings, unless explicitly stated otherwise:

  • Morning Culture Club (also "MCC"): a brand of Move to Natural B.V.

  • Consumer: a natural person who does (not) act in the exercise of a profession or business.

  • Buyer: the consumer who enters into a (distance) agreement with the seller.

  • Business: the natural person or legal entity acting in the exercise of a profession or business.

  • Offer: any written offer made to the "Buyer" for the delivery of "products" by Morning Culture Club.

Article 3 — Applicability

These general terms and conditions apply to every Offer made by Morning Culture Club, to every agreement between Morning Culture Club and a Buyer, and to every product offered by Morning Culture Club. These terms also apply to all agreements with Morning Culture Club for the performance of which third parties must be involved.

Before a (distance) agreement is concluded, the Buyer is given access to these general terms and conditions. If this is not reasonably possible, Morning Culture Club will indicate to the Buyer how the general terms and conditions can be viewed. In any event, they are published on the website(s) of Morning Culture Club, so that the Buyer can easily store these terms and conditions on a durable medium.

Deviation from these general terms and conditions is in principle not possible. The applicability of any (other) general or purchasing terms and conditions of the Buyer is expressly rejected. Only the general terms and conditions of Morning Culture Club apply to all agreements entered into with Morning Culture Club. In exceptional situations, the general terms and conditions may be deviated from if this has been explicitly agreed in writing with Morning Culture Club.

These general terms and conditions also apply to additional, amended and follow-up agreements with the Buyer.

If one or more provisions of these general terms and conditions are partially or wholly void or are annulled, the remaining provisions of these general terms and conditions remain in force, and the void/annulled provision(s) will be replaced by a provision with the same purport as the original provision.

Ambiguities about the content, interpretation or situations not covered by these general terms and conditions must be assessed and explained in the spirit of these general terms and conditions.

Article 4 — The Offer

All offers made by Morning Culture Club are without obligation, unless explicitly stated otherwise in writing. If the offer is limited or valid under specific conditions, this is explicitly stated in the offer.

The offer contains a complete and accurate description of the product offered. The description is sufficiently detailed to enable the Buyer to make a proper assessment of the offer. Obvious mistakes or errors in the offer cannot bind Morning Culture Club. The images and specific details in the offer are only an indication and cannot give rise to any compensation or to the dissolution of the (distance) agreement. Morning Culture Club cannot guarantee that the colours shown in the images correspond exactly to the actual colours of the product.

Delivery times stated on the website of Morning Culture Club are indicative and, if exceeded, do not give the Buyer any right to dissolution or compensation, unless explicitly agreed otherwise.

In principle, no special offers or discounts are made. If and to the extent that a special offer applies, it does not automatically apply to repeat orders. Special offers are only valid while stocks last, on a "while-supplies-last" basis as indicated in the offer.

Article 5 — Formation of the agreement

The agreement is concluded at the moment the Buyer accepts an offer from Morning Culture Club by paying for the relevant product. An Offer can be made by Morning Culture Club via the webshop. Once the Buyer has accepted the Offer by concluding an agreement with Morning Culture Club, Morning Culture Club will confirm the agreement with the Buyer in writing by email.

Morning Culture Club is not bound by an Offer if the Buyer could reasonably have expected, or should have understood, that the Offer contains an obvious mistake or error. The Buyer cannot derive any rights from such a mistake or error.

Agreements can only be entered into by authorised employees or persons engaged or hired by Morning Culture Club who have the power of representation.

Consumers may exercise the right of withdrawal within 14 days. The right of withdrawal is excluded if the Buyer is a Business.

Article 6 — Performance of the agreement

Morning Culture Club will perform the agreement to the best of its insight and ability and in accordance with the requirements of good workmanship. If and to the extent that proper performance of the agreement requires this, Morning Culture Club has the right to have certain work carried out by third parties at its own discretion.

The Buyer ensures that all data which Morning Culture Club indicates is necessary, or which the Buyer should reasonably understand to be necessary for the performance of the agreement, is provided to Morning Culture Club in good time. If the data required for the performance of the agreement is not provided to Morning Culture Club in good time, Morning Culture Club has the right to suspend performance of the agreement and/or to charge the Buyer the additional costs resulting from the delay at the usual rates.

Morning Culture Club is not liable for damage of any kind caused by Morning Culture Club relying on incorrect and/or incomplete data provided by the Buyer, unless Morning Culture Club was aware of this inaccuracy or incompleteness.

Article 7 — Delivery

Delivery in principle takes place from the warehouse of Morning Culture Club or its supplier. Shipping costs, and any threshold above which shipping is free, are stated on the website and shown at checkout before the order is completed.

If the start, progress or delivery of the products is delayed because, for example, the Buyer has not provided all requested information in good time, provides insufficient cooperation, or because of other circumstances beyond the control of Morning Culture Club, Morning Culture Club is entitled to a reasonable extension of the delivery period. All agreed delivery periods are never strict deadlines. The Buyer must give Morning Culture Club written notice of default and grant a reasonable period to still deliver. The Buyer has no right to any compensation as a result of the delay.

The Buyer is obliged to take delivery of the products at the moment they are made available under the agreement, even if these are offered earlier or later than agreed. If the Buyer refuses to take delivery or fails to provide information or instructions necessary for delivery, Morning Culture Club is entitled to store the products at the expense and risk of the Buyer.

If Morning Culture Club has stated a delivery period, this is indicative. Longer delivery periods than those stated on the website may apply to deliveries outside the Netherlands.

Morning Culture Club is entitled to deliver the products in parts, unless agreed otherwise, and is entitled to invoice each part separately.

For deliveries outside the Netherlands, the Buyer is responsible for the payment of any import duties and taxes.

Article 7A — Packaging and transport

Morning Culture Club undertakes towards the Buyer to have the products to be delivered properly packaged and secured in such a way that they reach their destination in good condition under normal use.

Accepting products without remarks or comments on the waybill/invoice serves as proof that the packaging was in good condition at the time of delivery.

Article 8 — Inspection, complaints and returns

The Buyer is obliged to inspect the delivered products at the moment of delivery, but in any case within fourteen days of receipt — unpacking or using the products only to the extent necessary to assess whether the Buyer wishes to keep the product. The Buyer must check whether the quality and quantity of the delivered products correspond to the agreement.

Right of withdrawal. As a Consumer, you have the right to withdraw from the agreement within 14 days of receiving your order, without giving reasons. If you exercise your right of withdrawal, you must return the product and all accessories, as far as reasonably possible, in their original condition and packaging, in accordance with the return instructions of Morning Culture Club. For apparel this means: the item must be unworn, unwashed and undamaged, with all original tags and labels still attached. If the product shows damage or loss of value due to handling by the Buyer that goes beyond what is necessary to assess the product, the Buyer is liable for that loss of value.

Any visible defects or shortages must be reported in writing to Morning Culture Club at hello@morningcultureclub.com within 14 days of delivery. Defects or shortages that are not visible must be reported within one month of discovery, but no later than within the applicable statutory period.

If the Buyer wishes to return defective products, this is done only with prior written consent from Morning Culture Club and in the manner indicated by Morning Culture Club.

Refunds are processed as soon as possible, but no later than 14 days after receipt of the withdrawal notice or the returned product, to the account or payment method previously used by the Buyer.

If the Buyer exercises the right to complain, the Buyer has no right to suspend its payment obligation or to set off outstanding invoices.

In the event of an incomplete delivery, and/or if one or more products are missing, and this is attributable to Morning Culture Club, Morning Culture Club will, upon request of the Buyer, send the missing product(s) or cancel the remaining part of the order (with a refund of the amount overpaid).

A complaint is not possible if the Buyer ordered the wrong products themselves, or had incorrect expectations of the relevant product. Incorrect sizing choices fall under the right of withdrawal described above, not under a defect complaint.

Article 9 — Prices

During the validity period of the offer, the prices of the products offered are not increased, except in the event of changes in VAT rates.

For Consumers, the prices stated in the offer are inclusive of VAT and exclusive of shipping costs, unless explicitly stated otherwise. Shipping costs are shown at checkout before the order is completed. For Business buyers, prices may be quoted exclusive of VAT.

Three months after the conclusion of the agreement, price increases may be applied by Morning Culture Club at its own discretion. If price increases take place within these three months, this can only be the result of a statutory regulation.

Article 10 — Payment

Payment is made in advance via the payment methods indicated in the webshop (such as iDEAL, Bancontact, credit card, Klarna and PayPal). Objections to the amount of the invoices must be reported within 7 days of the invoice date but do not suspend the payment obligation.

Morning Culture Club has the right to apply payments made by the Buyer first to the costs, then to the outstanding interest, and finally to the principal sum and current interest.

If the Buyer fails to meet its payment obligation, the Buyer will first receive a written reminder before being in default. From the date the Buyer is in default, Morning Culture Club is entitled, without further notice of default, to claim the statutory interest from the first day of default until full payment, as well as compensation for extrajudicial collection costs in accordance with applicable law.

Any judicial and enforcement costs incurred are also for the account of the Buyer.

Article 11 — Warranty

Morning Culture Club strives to deliver products that comply with the agreement and are free from material and manufacturing defects under normal use. If a delivered product does not comply with the agreement, Morning Culture Club will, at its own discretion and within a reasonable period, either replace the product or arrange for its repair, or refund the purchase price, in accordance with the Buyer's statutory rights.

This warranty does not apply where a defect has arisen as a result of improper or incorrect use, incorrect washing or care contrary to the care instructions, normal wear and tear, or where the Buyer or third parties have made or attempted to make changes to the product without the written consent of Morning Culture Club.

If the warranty provided by Morning Culture Club concerns a product manufactured by a third party, the warranty is limited to the warranty provided for it by the manufacturer of that product.

The Buyer is responsible for following the care instructions provided with the product.

Article 12 — Suspension and dissolution

Morning Culture Club is entitled to suspend the performance of its obligations or to dissolve the agreement if the Buyer does not, or does not fully, meet the (payment) obligations under the agreement.

Furthermore, Morning Culture Club is entitled to dissolve the agreement without prior notice of default if circumstances arise of such a nature that performance of the agreement is impossible or can no longer reasonably be required.

If the agreement is dissolved, the claims of Morning Culture Club against the Buyer are immediately due and payable. If Morning Culture Club suspends the performance of its obligations, it retains its claims under the law and the agreement. Morning Culture Club always retains the right to claim compensation.

Article 13 — Limitation of liability

If the performance of the agreement by Morning Culture Club leads to liability of Morning Culture Club towards the Buyer or third parties, that liability is limited to the costs charged by Morning Culture Club in connection with the agreement. Liability is in any event limited to the amount of damages paid out by the insurer per situation.

The liability of Morning Culture Club is furthermore limited to the free repair of a defective product or the replacement of that product — or a part thereof — at the discretion of Morning Culture Club.

Morning Culture Club is not liable for consequential damage, indirect damage, loss of business, loss of profit and/or loss suffered, missed savings, or damage due to business interruption. For Consumers, this limitation extends to what is permitted under article 7:24 paragraph 2 of the Dutch Civil Code.

Morning Culture Club is not liable for damage that is or may be the result of any act or omission in response to (incomplete and/or incorrect) information on the website(s) or on linked websites.

Morning Culture Club is not responsible for errors and/or irregularities in the functionality of the website and is not liable for malfunctions or for the website being unavailable for any reason.

All claims of the Buyer due to a shortcoming on the part of Morning Culture Club lapse if they are not reported in writing and with reasons to Morning Culture Club within one year after the Buyer was aware, or could reasonably have been aware, of the facts on which the claims are based.

Article 14 — Transfer of risk

The risk of loss or damage to the products that are the subject of the agreement passes to the Buyer at the moment the products leave the warehouse of Morning Culture Club. The risk has also passed to the Buyer once the products are placed in the control of the Buyer and/or third parties.

Article 15 — Force majeure

Morning Culture Club is not liable when, as a result of a force majeure situation, it cannot fulfil its obligations under the agreement, nor can it be held to fulfil any obligation if it is prevented from doing so as a result of a circumstance that is not attributable to its fault.

Force majeure is understood to include, but is not limited to: force majeure of suppliers of Morning Culture Club, the failure of suppliers to properly fulfil their obligations, defectiveness of items, equipment, software or materials of third parties, government measures, power failures, failures of internet, data network and telecommunication facilities (for example due to cybercrime and hacking), natural disasters, war and terrorist attacks, general transport problems, strikes, and other situations which, in the opinion of Morning Culture Club, fall outside its sphere of influence.

The parties may suspend the obligations under the agreement during the period that the force majeure continues. If this period lasts longer than two months, each party is entitled to dissolve the agreement, without any obligation to compensate the other party for damage.

Article 16 — Intellectual property rights

All intellectual property rights and copyrights of Morning Culture Club rest exclusively with Morning Culture Club and are not transferred to the Buyer and/or user. The Buyer is prohibited from disclosing, reproducing, modifying or making available to third parties any materials to which the intellectual property rights and copyrights of Morning Culture Club apply, without the express prior written consent of Morning Culture Club.

The Buyer is prohibited from using the products to which the intellectual property rights of Morning Culture Club apply in any way other than as agreed in the agreement.

If the Buyer identifies an infringement of the intellectual property rights of Morning Culture Club, or otherwise suspects a (possible) infringement, the Buyer will inform Morning Culture Club of this as soon as possible.

Article 17 — Privacy, data processing and security

Morning Culture Club handles the (personal) data of the Buyer and users of the website(s) with care and will only use this in accordance with the privacy statement. Questions about the processing of personal data and further information can be sent by email to hello@morningcultureclub.com.

If Morning Culture Club is required under the agreement to provide for the security of information, this security will comply with the agreed specifications and a security level that, in view of the state of the art, the sensitivity of the data, and the associated costs, is not unreasonable.

Article 18 — Complaints

If the Buyer is not satisfied with the service or products of Morning Culture Club, or otherwise has complaints about the purchase agreement, the Buyer is obliged to report these complaints as soon as possible, but no later than within 2 weeks of the event that gave rise to the complaint. Complaints can be reported via hello@morningcultureclub.com with the subject "complaint".

The complaint must be sufficiently substantiated and/or explained by the Buyer in order for Morning Culture Club to be able to handle it. Morning Culture Club will respond to the complaint as soon as possible, but no later than within 5 working days of receipt. The parties will try to reach a solution together.

Article 19 — Applicable law

Dutch law applies to every agreement between Morning Culture Club and the Buyer. The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG / Vienna Sales Convention) is expressly excluded.

In the event of interpretation of the content and purport of these general terms and conditions, the Dutch text is always decisive. Morning Culture Club is entitled to amend these general terms and conditions unilaterally.

All disputes arising from or in connection with the agreement between Morning Culture Club and the Buyer will be settled by the competent court in Amsterdam, unless mandatory rules of law lead to the jurisdiction of another court.
